UniCredit now holds a 47.6% economic stake in Commerzbank, effectively controlling close to half of Germany's second-biggest bank's voting rights at 49.65%. This move marks a significant shift in the European banking landscape.
The Italian lender’s acquisition campaign began back in September 2024. By early 2026, UniCredit launched a voluntary public takeover offer, which closed on July 8, 2026. In the final stretch, they secured an additional 17.6% of shares, pushing their holding to nearly 50%.
The German government, which once owned a large portion of Commerzbank after the 2008 bailout, has been steadily selling off its shares. Despite some opposition and skepticism from Berlin, these sales opened the door for UniCredit’s growing stake.
Commerzbank’s board remains committed to its independent "Momentum 2030" plan, but UniCredit’s CEO Andrea Orcel hinted that alignment with UniCredit’s strategy might be necessary. Boardroom tensions could escalate as January 2027 approaches if no consensus is reached.
One overlooked angle is Commerzbank’s pioneering role in crypto custody in Germany. It earned the country’s first full-service bank crypto custody license in November 2023 and partnered with Crypto Finance in 2024 to offer Bitcoin and Ether custody services. While no specific crypto assets are tied to the acquisition, this development signals larger institutional access to digital assets in Europe.
