"We aimed for the simplest, most transparent trigger for equity issuance," said Phong Le, CEO of Strategy Inc., as his company’s shares tumbled faster than Bitcoin this year. Strategy’s flagship stock has been under heavy pressure, sliding sharply along with the broader crypto market since January. Against this backdrop, Le unveiled a major overhaul of the mNAV metric that controls when the company can issue new shares.

The revamped formula now sets a fixed efficiency threshold at 1.0x, with the current mNAV hovering around 1.07x. This adjustment is designed to make the mechanism straightforward for investors to track and understand, cutting through the complexity that previously clouded confidence. Le emphasized that this clear-cut threshold will serve as a reliable signal for when Strategy can safely "restart the equity printing press" without diluting shareholder value.

The timing of the change is notable. Both Strategy’s market cap and its debt-linked instruments have plunged in tandem over recent months, mirroring Bitcoin’s own decline. By simplifying the key financial indicator, management hopes to restore trust among institutional and retail investors alike. Le credited feedback from analysts and Bitcoin Treasury companies in shaping the new approach, which now differentiates in-the-money and out-of-the-money convertible securities and factors in all senior claims against $MSTR.

Strategy’s move echoes a broader trend of companies adjusting financial metrics to weather volatile crypto markets. For example, related protocols have seen significant investor activity, such as Chainlink’s CCIP handling billions amid steady LINK prices. The next few months will be critical as Strategy tests whether its clearer formula can stabilize its shares and rebuild market confidence.
