Grayscale filed an S-1 registration statement with the U.S. Securities and Exchange Commission on July 20, 2026, seeking to launch a spot exchange-traded fund holding WLD, the native token of the Worldcoin project. The filing was made under file number 333-297570 and accession number 0001193125-26-308957, and is visible in the SEC's EDGAR database.
The proposed product is listed in the fee exhibit as "Grayscale Worldcoin ETF Shares" and classified under "Exchange-Traded Vehicle Securities." As of the initial filing, Grayscale has not disclosed a ticker symbol, management fee, or listing exchange. The registration fee shown in the S-1 fee table stands at $0.00, which is standard at this early stage.
What Worldcoin actually is
WLD is the token behind the World Network, an identity infrastructure project that verifies users through iris-scanning hardware called "orbs." The token gained 4.5% in the 24 hours following the filing, reaching a circulating market cap of roughly $1.35 billion. Bitcoin, for comparison, rose 2.6% over the same period.
As the filing's EDGAR record makes clear, an S-1 is only the opening move in a lengthy approval process. The registration must be declared effective by the SEC, and the listing exchange must separately clear a rule-change procedure before any shares can actually be offered to investors.
The Worldcoin application fits a broader pattern at the Stamford, Connecticut-based firm. According to its public filings, Grayscale has already pursued spot ETFs for Solana, Zcash, and several other altcoins, steadily pushing to convert its single-asset trust products into fully regulated exchange-traded vehicles.
