Grayscale submitted an S-1 registration statement to the SEC on July 20, seeking approval for a spot Worldcoin ETF that would trade on Nasdaq under the ticker GWLD. The underlying Delaware statutory trust was set up ten days earlier, on July 10.
How the fund would work
The proposed ETF would hold WLD tokens directly, tracking their price via the CoinDesk Worldcoin Benchmark Rate. No use, no derivatives, no active management. Grayscale tapped a familiar roster of service providers:
- Custodian: BitGo Bank & Trust
- Administrator and transfer agent: BNY Mellon
- Trustee: CSC Delaware Trust Company
Rather than pushing for a bespoke exchange rule change, Grayscale filed under Nasdaq's generic listing standards. That route can shorten the regulatory review timeline considerably. Several details, including the management fee, seed capital and the share-to-token ratio, are still pending and will be filled in through future amendments.
What the prospectus flags as risks
The registration document spends considerable space on the hazards tied to World Network. The biometric iris-scanning system at the project's core has drawn regulatory attention across seven jurisdictions: Germany, Spain, Portugal, Brazil, Hong Kong, Kenya and Indonesia have all imposed restrictions, opened investigations or suspended parts of the operation at one point or another.
Token concentration is another concern Grayscale puts on the table. About 90% of circulating WLD sits in a relatively small number of wallets, and scheduled unlock events for early investors and contributors are set to run through mid-2028, meaning fresh supply will keep hitting the market for years.
WLD climbed roughly 3.5% to 4.5% after the filing became public, briefly touching around $0.38, pushing the price back above its 20-period moving average. That said, the token is still far below its historical peak. The move in WLD fits the broader pattern seen after spot Bitcoin and Ethereum ETF approvals, where the filing itself acted as a short-term catalyst even before any regulatory green light arrived.
